By accessing or using Nur's voice AI services, website, APIs, or any associated software (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Nur AI, Inc. ("Nur," "we," "us," or "our"). We reserve the right to update these Terms at any time, and we will notify you of material changes via email or through the Services. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

You may use the Services only in compliance with these Terms and all applicable laws and regulations. You agree not to: - Use the Services to generate content that is harmful, abusive, threatening, defamatory, or otherwise objectionable. - Impersonate any person or entity, or falsely claim an affiliation with any person or entity. - Attempt to gain unauthorized access to the Services, other accounts, or computer systems. - Use the Services to create voice clones of individuals without their explicit consent. - Interfere with or disrupt the integrity or performance of the Services. - Use automated means to access the Services except through our official API. - Sublicense, resell, or redistribute the Services without prior written consent from Nur. We reserve the right to suspend or terminate your access to the Services if you violate these Terms.

Access to the Nur API is subject to the following conditions: Rate Limits: Each plan has specific rate limits as described in our API documentation. Exceeding these limits may result in temporary throttling or suspension of API access. Authentication: You are responsible for maintaining the security of your API keys. Do not share your keys publicly or embed them in client-side code. Compromised keys should be rotated immediately. Fair Use: The API is provided for legitimate use cases. We reserve the right to restrict access if usage patterns indicate abuse, excessive load, or activity that degrades service quality for other users. SLA: Enterprise customers receive an uptime SLA as specified in their service agreement. Standard plans are provided on a best-effort basis with a target of 99.9% uptime.

Nur's Technology: The Services, including all software, algorithms, models, documentation, and design elements, are the exclusive property of Nur AI, Inc. and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited usage rights expressly set forth herein. Your Content: You retain all rights to the content you provide to the Services (input text, audio samples, etc.). By using the Services, you grant Nur a limited, non-exclusive license to process your content solely for the purpose of delivering the Services to you. Generated Content: Audio and other outputs generated by the Services using your inputs are owned by you, subject to any applicable plan restrictions. You are responsible for ensuring your use of generated content complies with all applicable laws.

You are solely responsible for all content you submit, upload, or transmit through the Services ("User Content"). You represent and warrant that: - You own or have the necessary rights and permissions to use and authorize the use of your User Content. - Your User Content does not infringe upon the intellectual property rights of any third party. - For voice cloning features, you have obtained explicit, informed consent from any individual whose voice is being cloned. - Your User Content does not contain any material that is unlawful, harmful, or otherwise objectionable. We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, to be inappropriate.

Paid plans are billed in advance on a monthly or annual basis as selected during signup. All fees are non-refundable except as expressly set forth herein or as required by applicable law. Pricing: Current pricing is available on our pricing page. We reserve the right to change pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle. Taxes: Fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Services. Overages: If your usage exceeds your plan limits, you may be charged overage fees at the rates specified in your plan details, or your access may be throttled until the next billing cycle. Refunds: If you are not satisfied with the Services, you may request a refund within 14 days of your initial subscription. Annual plan refunds are prorated.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUR AI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO NUR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Services will immediately cease. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent or illegal activity, non-payment, or extended periods of inactivity. Upon termination, we may delete your data in accordance with our data retention policy. We will make reasonable efforts to allow you to export your data before deletion, except in cases of Terms violations. Sections regarding Intellectual Property, Limitation of Liability, and Governing Law shall survive any termination of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state and federal courts located in San Francisco County, California. You consent to the personal jurisdiction of such courts. For international users, nothing in these Terms affects your rights under any mandatory consumer protection laws in your jurisdiction that cannot be waived by contract. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
